How it works

How Shams works a hotel deal

  • Flag or independent. A brand brings the reservation system and the PIP bill. An independent brings freedom and a harder loan. We price both against what actually closed, not the asking prices on the portals.
  • The numbers that matter. Occupancy, ADR and RevPAR for the trailing twelve months, then the STR report if the seller has one. Room count sets the ceiling. RevPAR sets the price.
  • The PIP. Every branded sale comes with a property improvement plan. We get the estimate before the offer, not after, because it changes the price by hundreds of thousands.
  • Financing. SBA 7(a) and 504 both fund hotels. Brand approval, franchise transfer and the equity injection all have to line up before the lender says yes. From October 1, 2026, the buyer's minimum injection on a 7(a) purchase is 10 percent of the total project cost, and a 504 loan on the building can take 15 percent when the lender treats the hotel as special-purpose property.
  • Seller carry. Many hotel deals close with the seller holding a note for part of the price. It is normal, it is often what gets the loan approved, and it is negotiable.

FAQ

Hotel and motel questions

How are hotels and motels valued in Texas?

Hotels are valued on room revenue, not on a simple earnings multiple. Buyers look at RevPAR (revenue per available room), occupancy and average daily rate over the trailing twelve months, then apply a price per room or a multiple of net operating income that fits the flag, the age and the market. Two hotels with the same room count can differ in price by half.

Can I get an SBA loan to buy a hotel?

Yes. Hotels and motels are eligible for SBA 7(a) and 504 loans when the buyer will operate the property. The lender will want the franchise approval, the PIP estimate and the trailing financials, and from October 1, 2026 an equity injection of at least 10 percent of the total project cost from the buyer. A 504 loan on the building can take 15 percent when the lender treats the hotel as special-purpose property. Pre-qualification through our lending desk is not a commitment to lend and is subject to lender underwriting.

What is a PIP and who pays for it?

A property improvement plan is the list of upgrades the brand requires when a flagged hotel changes hands. The buyer usually pays, and the cost is priced into the offer. Getting the PIP estimate before the offer is one of the most important things a hotel buyer can do.

Should I keep the flag or go independent?

It depends on the market and the loan. A flag brings reservations, standards and lender comfort, and costs franchise fees plus the PIP. An independent keeps more of the revenue and needs a stronger location and a lender who will underwrite it. Shams has closed both and will tell you which fits the property.

How long does a hotel sale take?

Six to twelve months is typical, longer if the brand transfer or the loan drags. Deals close faster when the seller has the STR report, three years of financials and the franchise agreement ready before the listing goes live.

Do you work with out-of-state hotel buyers?

Yes. Many Texas hotel buyers are operators from other states or families adding a second or third property. The NDA, the package and the financing all work remotely. Shams meets buyers at the property when it is time.
