FAQ

Questions about the NDA

Why does Business Advisory Services require a confidentiality agreement?

Most sellers have not told their staff, their customers or their suppliers that the business is for sale. If that leaks, employees leave and customers hedge, and the business is worth less by the time it closes. The confidentiality agreement is what allows real numbers to be shared without putting the seller's business at risk.

How long does signing take?

The agreement is sent by email and signed electronically, usually in under five minutes. Signatures are verified before anything is released, and the financial package is then emailed to the signer, normally the same business day. There is no cost, and signing does not commit anyone to buying anything.

What is released after a confidentiality agreement is signed?

Typically the trailing financial statements, the operating summary, the lease or property documents, and for hotels the franchise documents and improvement plan status. The exact package varies by deal and by what the seller has made available. Everything is sent by email to the verified signer only.

What restrictions come with signing?

The information is for evaluating that specific opportunity. It is not to be shared beyond the signer's own advisors and lender, not used to approach the seller, the staff, the landlord or the customers directly, and not used to compete. The agreement sets out the full terms, which should be read before signing.
